General Terms & Conditions

 Protecting the interests of our Clients as well as those of our Vendors is a prime goal at BERLUKAS. Therefore, we always strive for a clear, up-front agreement on the way a project will unfold.

Unless agreed otherwise in writing with BERLUKAS and for a special contract only, the following Terms & Conditions shall exclusively apply:

Quotes to Clients
  1. Quotes can only be prepared after examination of all documents to be translated.
  2. Uncleaned Trados documents or copies of project translation memory can only be remitted to the Client if such request is made in writing before submittal of BERLUKAS' Quote to the Client.
  3. Prices are firm and shall not be modified during the project unless changes are requested in writing by the Client.
  4. Prices are valid for 10 days and subject to review afterwards.
  5. The delivery date indicated on the Quote is valid if an acceptable Purchase Order is received within the dateline indicated at the bottom of the Quote.
  6. If the P.O. receipt dateline indicated on the Quote is expired but the price is still valid, the delivery date could be affected by other orders accepted in the meantime.
Sales to Clients
  1. No work can be carried out before receipt of an acceptable Purchase Order from the Client. However, a written request for RUSH DELIVERY from a regular client can be accepted as an OK to proceed, but in no case a translation will be delivered without prior receipt of an acceptable Purchase Order.
  2. All Purchase Orders and Change Orders received from the Client will be confirmed by an Order Acknowledgement from BERLUKAS.
  3. A Contract under execution cannot be terminated unilaterally by the Client.
  4. There is no charge for electronic document transmittals but transmittal fees may apply to documents not sent by internet (Courier or Special Delivery).
  5. Any complaint concerning the quality of BERLUKAS' work must be made in writing within 10 (ten) days of receiving the translation and must be supported with acceptable documentation.
  6. BERLUKAS' limit of liability to International Clients (for negligence, errors, omissions, delays, etc.) in no case shall exceed the value of the Contract that is the subject of the claim. This limitation does not apply to Clients located in Canada.
  7. The above Sales Terms & Conditions are the only ones applicable, unless agreed otherwise in writing with BERLUKAS and for a specific contract only.
Invoices to Clients
  1. Payment terms are net 30 days after sending the PDF invoice by email, unless agreed otherwise in writing prior to the Order Acknowledgement.
  2. Payments can be made by wire transfer,
    MasterCard , Visa or by PayPal Acceptance Mark
    3. .
  3. Wire transfer charges are to the Client's account.
  4. Credit card and PayPal payment charges are to BERLUKAS' account.
  5. Cheques are the last recourse solution and if a Client must pay by cheque, this requirement must be established before the Quote and agreed with BERLUKAS.
  6. Late payments are subject to a penalty of 2 % per month of delay.
Purchases from Vendors
  1. No work is allowed to be carried out before receipt of an official Purchase Order from BERLUKAS.
  2. Payment terms are Net 30 days after receipt of the invoice corresponding to the Purchase Order issued.
  3. The preferred payment method is by PayPal Acceptance Mark
    4. .
  4. With BERLUKAS' agreement before issuing a Purchase Order, payments can be made exceptionally by MoneyBookers, wire transfer, cheque or iKobo.
  5. PayPal, MoneyBookers and iKobo transfer expenses are to the Vendor's account and must be included in his price; wire transfer expenses are to BERLUKAS' account and must be excluded from his price.
  6. A contract under execution cannot be terminated unilaterally by the Vendor.
  7. BERLUKAS reserves the right to refuse any translation requiring undue corrections.
  8. Vendor's liability to BERLUKAS is limited to the value of the Purchase Order that is the subject of the claim.
  9. The above Purchasing Terms & Conditions are the only ones applicable, unless agreed otherwise in writing by BERLUKAS for a specific contract.
The above General Terms & Conditions are subject to occasional revisions without prior notice. Clients and Vendors are invited to visit this page regularly in order to ascertain their rights and obligations. BERLUKAS is willing to make reasonable adjustments to these Terms & Conditions for a specific project but no such modification shall be valid unless agreed in writing by both Parties.
